We reserve the right to modify, amend, replace, or terminate these Terms at any point in time, at our sole discretion. It remains your responsibility to periodically review these Terms for any updates or changes. Your continued use of our Platform post any modifications signifies your acceptance of the amended Terms.

ACCOUNT CREATION.

To participate in the features, functionalities, and services offered through our Platform, users are required to create an account. Grant of License: By providing User Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Platform and our (and our successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels. This license allows us to make your User Content available to the rest of the world and to let others do the same.

Content Standards and Compliance: Your User Content must comply with all applicable laws, rules, and regulations, and must not:

Review and Removal of Content: We have the right, but not the obligation, to review, screen, edit, or remove any User Content at our sole discretion. We may remove User Content that we determine, in our sole discretion, violates these Terms, our policies, or is otherwise objectionable.

You must not use such marks without our prior written permission. All other names, logos, and service names, designs, and slogans on our Platform are the trademarks of their respective owners.

If you believe that any content on our Platform infringes upon your intellectual property rights, please provide us with a detailed notice with the requisite information to evaluate and, if valid, act on such claims.

General Disclaimer: TO THE FULLEST EXTENT PERMITTED BY LAW, The Northshore Nanny, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE OUR PLATFORM, ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS, ANY PERSONAL INFORMATION STORED THEREIN, OR ANY INTERRUPTION OR CESSATION OF THE SERVICES WE PROVIDE.

Maximal Liability: IN NO EVENT SHALL OUR CUMULATIVE LIABILITY TO YOU, FOR ALL CLAIMS RELATING TO OUR PLATFORM EXCEED THE SUM OF $100.

Third-Party Links and Tools: We may provide links to third-party websites or tools. We do not monitor, control, or assume liability for any third-party content, websites, or services. You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, or conditions of any kind and without endorsement.

No Guarantees: We do not guarantee, represent, or warrant that your use of our Platform will be uninterrupted, timely, secure, or error-free. You agree that from time to time we may remove the Platform for indefinite periods, cancel it at any time, or otherwise limit or disable your access without notice to you.

Acknowledgment: You acknowledge that the above limitations of liability are fundamental elements of the basis of the bargain between us and you, and our Platform would be provided without such limitations.

INDEMNIFICATION.

Obligation to Indemnify: YOU HEREBY AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS The Northshore Nanny, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, CONSULTANTS, SUPPLIERS, AND ANY THIRD-PARTY WEBSITE PROVIDERS FROM AND AGAINST ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES, FEES (INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS) THAT SUCH PARTIES MAY INCUR AS A RESULT OF OR ARISING FROM YOUR (OR ANYONE USING YOUR ACCOUNT’S) VIOLATION OR BREACH OF ANY REPRESENTATION OR OBLIGATION UNDER THESE TERMS OR YOUR USE OF OUR PLATFORM WE OFFER.

Cooperation and Defense: You agree to cooperate fully in the defense of any claim challenged or questioned under this indemnification provision. The Northshore Nanny reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any matter without the written consent of The Northshore Nanny

Continuous Effect: This indemnification provision shall remain in full force and effect regardless of any investigation made by or on behalf of the indemnified party or any officer, director, or employee of such indemnified party and shall survive the termination of your use of our Platform or any services we offer.

No Limitation: Your indemnification obligations cover claims against you and The Northshore Nanny alike, including situations where you have acted negligently or in a manner that may not align with the best interests of The Northshore Nanny.

ERRORS AND OMISSIONS.

Acknowledgment of Possibility of Errors: The Northshore Nanny makes every effort to ensure that all information provided on our Platform and through our communications is accurate, complete, and current. However, despite our efforts, there may be occasions when information on the Platform or within our service offerings contains typographical errors, inaccuracies, or omissions.

Right to Correct Errors: We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Platform or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

No Liability for Errors: While we undertake to update, amend, or clarify information in the Platform, including without limitation, pricing information, except as required by law, we make no commitment to update the information contained in the Service or on any related website. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated. We do not warrant that the quality of any services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. DISPUTE RESOLUTION.

Informal Resolution. If you have any dispute with us, you agree that before taking any formal action, you will contact us at thensnanny@gmail.com, provide a brief, written description of the dispute and your contact information (including your username, if your dispute relates to an account) and allow sixty (60) days to pass, during which we will attempt to reach an amicable resolution of any issue.

Mediation: If the parties are unable to resolve the dispute through direct negotiations, they agree to endeavor to settle the dispute through mediation administered by a neutral mediator before resorting to litigation or any other dispute resolution procedure. The parties will jointly appoint an agreeable mediator and will share equally in the costs of such mediation.

Binding Arbitration: If mediation proves unsuccessful, either party may initiate binding arbitration. Such arbitration shall be administered by a recognized arbitral body mutually agreed upon by the parties. The judgment rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs in the arbitration and shall share equally the costs of the arbitrator

Exceptions: Notwithstanding the above clauses, The Northshore Nanny reserves the right to seek injunctive relief or file for damages in any court of competent jurisdiction in cases where The Northshore Nanny believes that its intellectual property rights have been violated or where it deems necessary to protect its business interests.

WAIVER: BY AGREEING TO THESE TERMS, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO A COURT TRIAL (OTHER THAN SMALL CLAIMS COURT AS PROVIDED BELOW) OR TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING FILED AGAINST US AND/OR RELATED THIRD PARTIES.

STATUTE OF LIMITATIONS: REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE PLATFORM, SERVICES, OR THE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ARISES OR IT WILL BE FOREVER BARRED.

GOVERNING LAW.

Jurisdiction & Applicability: These Terms and Conditions, including all agreements and policies incorporated by reference, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any principles of conflicts of laws thereof that would lead to the application of the laws of another jurisdiction.

Scope: The laws of the State of Illinois shall govern all matters arising out of or relating to these Terms and Conditions, including, without limitation, its validity, interpretation, construction, performance, and enforcement.

Exclusivity: Both parties agree that any legal action or proceeding arising out of or in connection to the obligations, rights, and remedies of parties under these Terms and Conditions shall be brought exclusively in the courts of Illinois County, Illinois. Each party consents and submits to the exclusive jurisdiction of these courts in any such action or proceeding and waives any objection to venue or inconvenient forum.

Waiver of Class Action: You and The Northshore Nanny agree that any proceedings to resolve or litigate any dispute will be conducted on an individual basis and not as a class action or other representative action, whether within a class-wide arbitration, by a class action, or otherwise. Both parties expressly waive any ability to maintain any class action in any forum.

AMENDMENTS.

Policy of Amendments: At The Northshore Nanny, we reserve the right to update, modify, amend, or otherwise alter these Terms and Conditions (the "Terms") at any time. Such amendments are essential to reflect changes in our services, market conditions, legal requirements, or other factors affecting our business operations.

Notice of Amendments: Any amendments will update the "Last Updated" date at the beginning of the Terms to reflect the date of the latest revision.

Review of Amendments: It is your responsibility as a user to review the amended Terms periodically. We encourage you to frequently check this page for any changes to stay informed about how we are protecting the personal information we collect.

Acceptance of Amendments: Continued use of the Platform after any such changes constitutes your consent to and acceptance of the revised Terms. If you do not agree to the amended Terms, your sole recourse is to cease using the Platform.

You acknowledge and agree that The Northshore Nanny is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Content & Security: We do not monitor, verify, or endorse information submitted on third-party websites and are not responsible for their availability, content, or security. Accessing any thirdparty websites is at your own risk.

Termination of Links: The Northshore Nanny reserves the right, at its sole discretion, to terminate any third-party link or linking program at any time and for any reason, including links that have been provided by authorized third parties.

FORCE MAJEURE.

Definition: "Force Majeure" refers to any event or circumstance beyond the reasonable control of The Northshore Nanny, including but not limited to: acts of God, natural disasters (such as earthquakes, floods, storms, or fires), wars, hostilities, civil disturbances, government actions, embargoes or blockades, national or regional emergencies, strikes or labor disputes (excluding those involving our own employees), utility failures, disruptions in telecommunication infrastructure, epidemic or pandemic situations, or any other exceptional and catastrophic event.

Suspension of Obligations: If The Northshore Nanny is prevented or delayed from complying with any of its obligations under these Terms and Conditions due to a Force Majeure event, it will not be in breach of these Terms nor liable for delay in performing, or failure to perform, any of its obligations if such delay or failure results from events, circumstances, or causes beyond its reasonable control.

Notification: The Northshore Nanny shall, as soon as reasonably practicable after the start of a Force Majeure event, notify you of the nature and extent of the Force Majeure event, the effect on its ability to perform, and the anticipated duration of the interference with its performance.

Mitigation: The Northshore Nanny will use commercially reasonable efforts to minimize the effects of the Force Majeure event and to ensure the resumption of its regular obligations as soon as possible.

Right to Terminate: If the Force Majeure event continues for a continuous period of more than 60 days, either party may terminate the agreement by giving 10 days written notice to the other party. Upon such termination, neither party shall be liable to the other, except for any liability which may have arisen before the occurrence of the Force Majeure event.

ASSIGNMENT.

Prohibition Without Consent: You may not assign, delegate, subcontract, or otherwise transfer your rights, obligations, or duties under these Terms and Conditions without the prior written consent of The Northshore Nanny. Any attempted assignment, delegation, or transfer without the requisite consent will be deemed null and void.

Company’s Rights to Assign: The Northshore Nanny reserves the right to assign, transfer, or delegate any of its rights and obligations under these Terms and Conditions to any third party at its sole discretion, without notice. This may include an assignment to a successor due to merger, acquisition, reorganization, or sale of all or substantially all of its assets or equity.

Binding Effect: Subject to the restrictions on assignment contained herein, these Terms and Conditions shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.

Effect of Assignment: When an assignment is made by The Northshore Nanny, the party receiving such assignment shall be bound by the provisions of these Terms and Conditions in the same manner as The Northshore Nanny and shall benefit from all rights, benefits, and interests herein.

WAIVER.

No Automatic Waivers: The failure or delay of The Northshore Nanny in exercising any right, remedy, power, or privilege under these Terms and Conditions shall not constitute a waiver thereof. Similarly, any single or partial exercise of any right, remedy, power, or privilege hereunder shall not preclude further exercise of the same or of any other right, remedy, power, or privilege.

Written Requirement: Any waiver by The Northshore Nanny of a breach of any provision of these Terms and Conditions shall only be effective if it is in writing and signed by an authorized representative of The Northshore Nanny. A waiver of any term or provision shall not be construed as a waiver of any subsequent breach or default, whether of a similar nature or otherwise.

Retaining Rights: No waiver by The Northshore Nanny of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of The Northshore Nanny to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

HEADINGS.

Organizational Tool: The headings, titles, and captions used in these Terms and Conditions are intended solely for convenience and ease of reference. They are not to be considered a part of these Terms, nor are they to be deemed to affect the meaning or interpretation of these Terms and Conditions.

No Legal Effect: The inclusion of headings in these Terms and Conditions is for organizational purposes only and shall not affect the construction or interpretation of any provision in these Terms. Headings are not to be considered a substantive part of these Terms and Conditions.

Assistance in Understanding: These headings are provided to help quickly identify and locate various provisions of these Terms and Conditions. They are not intended to comprehensively describe the content of the respective sections.

Non-Binding: Any failure to mention a particular aspect of the subject matter in a heading, or any error in a heading, does not bind, limit, or otherwise affect the content of the relevant section or the application of the provisions described therein

SEVERABILITY.

Enforceability of Terms: In the event that any provision or part of these Terms and Conditions is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remainder of these Terms and Conditions shall remain in full force and effect.

Modification of Invalid Terms: The invalid, illegal, or unenforceable provision shall be modified to the extent necessary to render it valid, legal, and enforceable while preserving its intent. If modification is not possible, the affected provision or part thereof shall be deemed severed from these Terms and Conditions, but all other provisions and parts of these Terms and Conditions shall continue in full force and effect.

Effect on Agreement: The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision or part of these Terms and Conditions, which shall remain in full force and effect as though such invalid, illegal, or unenforceable provision had never been included.

Construction: These Terms and Conditions shall be construed as if each provision and part thereof were drafted independently, and any presumption or rule of construction against construing ambiguities in favor of the drafting party shall not apply to the interpretation or construction of these Terms and Conditions.

ENTIRE AGREEMENT.

Incorporation of Documents: These Terms incorporate by reference all notices, policies, disclaimers, addendums, and other terms contained on the Platform, including but not limited to our Privacy Policy, Disclaimer, and Intellectual Property provisions. This includes any agreements or policies that are mentioned within these Terms and Conditions and made accessible via hyperlinks.

Superseding Effect: These Terms and Conditions, along with any documents, policies, or terms they incorporate by reference, constitute the entire agreement between you and The Northshore Nanny and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and the Company with respect to the Platform.

No Reliance on Other Representations: You acknowledge that in entering into this agreement, you have not relied on any statement, representation, assurance, or warranty (whether made negligently or innocently) other than as expressly set out in these Terms and Conditions.

Amendment Restriction: No amendment to or modification of these Terms and Conditions will be binding unless in writing and signed by a duly authorized representative of The Northshore Nanny or posted on the Platform by the Company.

Conflict Resolution: In the event of any conflict or inconsistency among the following documents, the order of precedence shall be: (1) the specific provisions of the document that is most recent in time; (2) these Terms and Conditions.

Acknowledgment and Acceptance: By using the Platform, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by their terms. Furthermore, you agree that these Terms and Conditions are the complete and exclusive statement of the agreement between you and The Northshore Nanny, which supersedes any proposal or prior agreement, oral or written, and any other communications between you and the Company relating to the subject matter of these Terms.

INTRODUCTION.

This Addendum A ("Addendum") to the Terms and Conditions governs the specific terms applicable to nannies ("Nanny" or "You") using The Northshore Nanny ("Company", "We", "Us", or "Our"). By registering as a Nanny on our platform, you agree to comply with the terms outlined in this Addendum, in addition to the Terms and Conditions already agreed upon.

PAYMENT TERMS AND AUTHORIZATION.

Payment Processing: You authorize The Northshore Nanny to initiate electronic ACH debit and credit entries to your designated bank account, which you will provide upon registering for our Platform. This authorization includes processing payments for services rendered to customers and handling any necessary adjustments.

Job Initiation and Time Tracking: Upon arriving at a job, you are required to initiate the job through our Platform, which will begin tracking the time you spend on the service. It is imperative that you accurately start and end the job tracking in real time to ensure correct payment for the hours worked. Our Platform automatically calculates the payment due based on the tracked time and the rates previously agreed upon in your profile.

Payment Schedule: Payments to you will be disbursed following the completion of job. The amount paid will be based on the fees earned as recorded by our time tracking system.

Transaction Details: Detailed statements showing the calculation of your payments, including dates of service, amounts charged to customers, fees deducted, and net amounts paid, will be available in your account dashboard. You are responsible for reviewing your payment statements to ensure accuracy.

Discrepancies and Disputes: Should you identify any discrepancies or disputes regarding payments, you must notify us within thirty (30) days of payment to allow for timely investigation and resolution. Failure to notify us within this timeframe may result in the waiver of any claims related to the disputed payment.

Authorization Revocation: Your authorization for ACH transactions remains in full force and effect until you have notified us that you wish to revoke it. To revoke your authorization, you must provide us with written notice of your intent ten (10) business days prior to the effective date of the revocation. Please note that revocation of this authorization may result in a cessation of services until an alternative payment method is arranged.

Changes to Bank Information: It is your responsibility to inform us promptly of any changes to your bank account information to avoid misdirected payments. Instructions for updating your payment information are provided on your account dashboard.

BACKGROUND CHECK AND ONBOARDING.

Background Check Authorization: You hereby authorize The Northshore Nanny, through its designated third-party service provider, to conduct a comprehensive background check. This may include, but is not limited to, checks of your criminal record, sex offender registry, motor vehicle records, and any other public records. By providing your consent, you affirm that all personal information supplied is accurate and you agree to furnish additional documentation or information as required to complete your background check. You acknowledge that results from background checks will be used by The Northshore Nanny to determine your eligibility to register and offer services on the Platform. Negative findings may result in the denial of your application or removal from the Platform.

Onboarding Process: The onboarding process includes submission of required documents, completion of any training programs instituted by the Company, and compliance with our service standards. You must complete all aspects of the onboarding process as specified by The Northshore Nanny. Failure to satisfactorily complete any part of this process may result in a delay or denial of your application. Final approval to become a Nanny on our Platform is contingent upon successful completion of the background check and adherence to any other requirements as set forth during the onboarding process

Use of Information: The information collected during the background check and onboarding process will be used solely for the purpose of evaluating your application and compliance with our Platform standards. We maintain the confidentiality of your personal information in accordance with our Privacy Policy and applicable laws.

Acknowledgment of No Guaranteed Acceptance: You acknowledge that submission of an application and undergoing a background check does not guarantee your acceptance as a Nanny on the Platform. Acceptance is at the sole discretion of The Northshore Nanny, based on compliance with our standards and satisfactory background check results.

Ongoing Compliance: Once accepted, you may be subject to additional background checks periodically or as deemed necessary by The Northshore Nanny to ensure ongoing compliance with our Platform standards.

NO GUARANTEE OF WORK.

Work Availability: The availability of work depends on a variety of factors including but not limited to local demand, seasonality, customer preferences, your availability, your profile completeness and accuracy, customer feedback, and geographical location.

Independent Contractor Status: As a Nanny on The Northshore Nanny Platform, you acknowledge and agree that you are acting as an independent contractor and not as an employee of the Company. Therefore, the amount of work you receive is not fixed or guaranteed, and your engagement with the Platform does not constitute any promise of regular employment, salary, or benefits.

No Exclusivity: You are free to engage in other professional activities outside of your relationship with The Northshore Nanny. However, such engagements must not conflict with your existing commitments on our Platform, nor should they violate any non-compete clauses that might be part of your agreement with us.

Efforts to Enhance Opportunities: We may provide suggestions, training, or tools aimed at enhancing your profile's visibility and attractiveness to potential customers. However, implementing these suggestions or tools does not guarantee job acquisition, and the decision to engage any Nanny remains at the sole discretion of the customers.

Market and Economic Conditions: You acknowledge that fluctuations in the market and changes in the economic environment may affect the availability of gigs. The Northshore Nanny is not responsible for such market-driven circumstances and cannot be held liable for any downturn in gig availability that affects your potential earnings.

Account Activity and Standing: Your activity on the Platform, including response rates, cancellation rates, and customer ratings, may influence the visibility of your profile and your chances of being selected by customers. Maintaining a positive account standing is crucial for maximizing work opportunities, but it does not guarantee engagement.

ELIGIBILITY.

Age Requirements: To register as a Nanny on the Platform, individuals must be at least 14 years of age. By creating an account, nannies under the age of 18 represent and warrant that they have obtained verifiable consent from a parent or legal guardian who has agreed to the terms and conditions of their engagement on the Platform. We reserve the right to request proof of this parental or guardian consent at any time to ensure compliance with our policies and applicable laws. It is the responsibility of the nanny to provide such proof promptly upon request.

Work Hour Limitations: Nannies under the age of 18 are subject to the following work hour limitations in accordance with Illinois Child Labor Laws:

Permissible Work Activities: Nannies under the age of 18 shall not be engaged in any hazardous occupations as defined by both federal and Illinois state laws. The tasks assigned will be strictly non-hazardous and suitable to their age, physical abilities, and mental capabilities.

Safety and Liability: The safety of nannies under the age of 18 is a paramount concern. The Northshore Nanny commits to providing a safe working environment and expects all users to adhere strictly to safety guidelines. Nannies and their guardians are encouraged to report any conditions perceived as unsafe or any work demands beyond those allowed by law.

Educational Commitments: The Northshore Nanny recognizes the importance of education and thus stipulates that work engagements for nannies under the age of 18 must not interfere with their educational commitments. As such, work scheduling will accommodate school schedules to comply with Illinois Child Labor Laws.

Independent Contractor Status: By agreeing to engage with The Northshore Nanny Platform, nannies under the age of 18 and their guardians acknowledge that they are acting as an independent contractor, not as an employee of the company. This status affects the Nanny’s entitlement to benefits, tax withholdings, and other employment-related matters that the Nanny and their guardians should understand fully.

Amendment and Notification: The Northshore Nanny reserves the right to amend these provisions at any time to maintain compliance with existing laws and regulations. Nannies and their guardians will be notified of any significant changes in a timely manner and must agree to these changes to continue using the Platform.

CONDUCT AND PERFORMANCE EXPECTATIONS.

Professionalism: You are expected to conduct yourself in a professional manner at all times while engaged in services arranged through our Platform. This includes, but is not limited to, punctuality, courtesy, respect, and maintaining a high standard of personal hygiene.

Confidentiality: You must respect the privacy and confidentiality of all information shared by customers concerning their family, home, and personal circumstances. Unauthorized disclosure of such information, including but not limited to personal data, family routines, or any sensitive information, is strictly prohibited and may result in immediate termination from the Platform.

Safety and Welfare: Ensuring the safety and welfare of children under your care is paramount. You are required to follow all applicable laws, rules, and regulations related to child care, as well as any specific instructions provided by the customer. You must take all necessary precautions to prevent harm or danger to the children and immediately report any incidents or concerns to the appropriate authorities and the Platform.

Communication: Effective communication with customers is essential. You must provide clear and timely communication regarding your availability, schedule changes, or any issues that may arise during the course of service. Miscommunication or failure to communicate appropriately may impact your standing on the Platform.

Zero Tolerance Policy: We maintain a zero tolerance policy regarding any form of abuse, harassment, discrimination, or illegal activities. Any violation of this policy will result in immediate termination from the Platform and may involve legal action.

CANCELLATION AND TERMINATION POLICY.

Cancellation by Nannies: As a Nanny using The Northshore Nanny Platform, you are required to notify customers of any cancellation at least 24 hours in advance of the scheduled service time. Cancellations must be made directly through the Platform to ensure that customers receive timely notification. To cancel a scheduled service, you must access your upcoming bookings via the Platform interface and select the appropriate booking to cancel. The Platform will automatically notify the customer of the cancellation and update your availability accordingly.

Consequences of Late Cancellations: Cancellations made less than 24 hours before the scheduled start time may incur penalties unless they are due to verifiable emergencies. Such penalties may include a fee deducted from your next payment or a temporary suspension of your ability to book future jobs, depending on the frequency and reasons for late cancellations. Repeated failure to comply with the cancellation policy may lead to increased penalties or eventual termination of your profile on the Platform.

By utilizing our platform to book services from registered nannies, you agree to comply with the terms outlined in this Addendum, in addition to the Terms and Conditions already agreed upon.

BOOKING AND HIRING.

Platform Use for Booking Services: As a Customer on The Northshore Nanny Platform, you have the capability to search for, evaluate, and book Nannies based on a variety of criteria to ensure the best match for your childcare needs.

Searching and Evaluating Nannies:

Booking Process: To book a Nanny, select the desired Nanny from the search results, choose from the available times, and confirm the specific services you require during the booking process. Upon selecting a Nanny, you will proceed to a booking confirmation page where you can review all details, including the total estimated cost, before finalizing your booking. Once you confirm the booking, both you and the Nanny will receive a confirmation notification via the Platform, ensuring that all parties are informed of the booking details and terms.

Communication: After booking, direct communication channels via the Platform are available to discuss any specific instructions, special requirements, or to address preliminary questions you orthe Nanny may have regarding the upcoming service. It is recommended to provide as much detail as possible about your needs and expectations to ensure the Nanny is well-prepared to provide the best care possible. Prior to booking, it is strictly prohibited to communicate outside the Platform. This ensures the safety and security of all parties involved. After booking, direct communication channels via the Platform are available to discuss any specific instructions, special requirements, or to address preliminary questions you or the Nanny may have regarding the upcoming service.

PAYMENT TERMS.

Payment Authorization: As a Customer on The Northshore Nanny Platform, by booking a Nanny, you authorize automatic charges to your stored payment method for the services rendered based on the actual time worked by the Nanny. This process is facilitated by our trusted third-party payment processor, Stripe.

Charge Calculation: Upon completion of a job, the Platform will automatically calculate the total payment due based on the time the Nanny has logged in the Platform. This time tracking begins when the Nanny initiates the job on the Platform and ends when they mark the job as complete. The hourly rate charged will be as agreed upon at the time of booking and reflected in the job details on your dashboard.

Processing Payments: Immediately after the job is marked complete by the Nanny, your payment method on file will be charged for the amount due. You will receive a notification of this transaction and can view the detailed charges on your account dashboard. The charged amount will include the Nanny’s fee for the time worked and any applicable taxes or service fees as per the Platform's terms.

Updating Payment Information: It is your responsibility to maintain current and valid payment information on the Platform. You can update your payment methods through your account settings at any time. Failure to have a valid payment method or sufficient funds may result in a disruption of service and potential penalties, such as late fees or suspension of your ability to book future services.

Receipts and Statements: After each completed job, you will receive an electronic receipt via email summarizing the transaction details. All payment records are also accessible through your account dashboard for your convenience and record-keeping.

Discrepancies and Disputes: If you notice any discrepancies in the charges made to your account, or if you dispute the time reported by a Nanny, please contact our customer support team within 30 days of the transaction. We are committed to resolving any issues swiftly and will review the time logs and other job details to ensure accuracy and fairness.

CANCELLATION AND RESCHEDULING.

Cancellation by Customers: As a Customer using the Platform, you are required to cancel any booking at least 24 hours in advance of the scheduled job start time. Cancellations must be processed through the Platform to ensure that the Nanny is notified in a timely manner and to facilitate proper adjustments. To cancel a booking, please navigate to your upcoming bookings on the Platform dashboard and select the booking you wish to cancel. The Platform will automatically notify the Nanny and handle any necessary adjustments.

No-Show Policy: Failure to notify a Nanny of cancellation and absence at the time of a scheduled service will be considered a no-show. No-shows are subject to a fee equivalent to the full cost of the booked service and may lead to further penalties, such as suspension of your account if recurrent.

CHILDRENS HEALTH INFORMATION.

Method of Disclosure: You may include such health-related information directly in the profile notes of your children, which are accessible to Nannies once you have booked their services. It is your responsibility to ensure that all health information provided is accurate, complete, and updated as necessary to reflect any changes in your child’s health status.

Confidential Handling: All health information disclosed through the Platform will be treated with strict confidentiality. It will only be accessible to the Nanny booked for your service and our Platform staff as necessary to ensure appropriate care and support. We are committed to protecting this sensitive information in accordance with our Privacy Policy and applicable laws.

Importance of Disclosure: Providing complete and accurate health information is crucial for enabling Nannies to take appropriate precautions and provide the best possible care to your children. This information aids Nannies in avoiding potential hazards and in responding effectively in case of a health-related emergency.

Consent to Share Information: By entering health-related information into your children’s profile notes, you consent to the sharing of this information with the Nannies who provide care to your children through our Platform. This consent applies solely for the purpose of providing care and does not authorize the further dissemination of such information outside the scope of service.

DISCLAIMER.

No Endorsement of Nanny Performance: While nannies undergo a vetting process based on their background information and qualifications, The Northshore Nanny does not make any representations, warranties, or guarantees regarding the performance, conduct, or outcomes of any services provided by nannies. We do not endorse any individual nanny, nor do we guarantee the success of services they provide.

As-Is Services: All services facilitated through our Platform are provided "as is" and "as available." The Northshore Nanny hereby disclaims all warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the services will meet your requirements or expectations, or that the service will be uninterrupted, timely, secure, or errorfree.

Limitation of Liability: In no event shall The Northshore Nanny be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to financial losses, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the services provided by nannies through our Platform.

Your Responsibility: You are responsible for selecting your nanny and for the terms and conditions of any services arranged through the Platform. You agree to take reasonableprecautions in all communications and interactions with nannies arranged via the Platform and intaking any necessary actions based on your own discretion and judgment.

Information Accuracy: The Northshore Nanny makes every effort to ensure that all content and information on the Platform is accurate and up-to-date; however, we cannot guarantee the completeness, accuracy, or reliability of any content or data provided. You acknowledge that such information may contain inaccuracies or errors and agree that The Northshore Nanny is not liable for any such inaccuracies, errors, or the consequences of relying on this information.
